Bodycote announced on the London Stock Exchange news service on 21 October 2026 that the court meeting (99.79% of scheme shares voted in favour) and the general meeting (99.78% in favour) both passed the Veritas scheme; no whitelist media report was found, so the company's own announcement settles it.

Hunch. Only the directors, with about 0.15% of the shares, have promised their votes, and the shares traded at 957p, above the offer, while CVC was still in, so some holders paid more than they would now get (Bodycote and Veritas, Reuters, 1 Sep 2026).
The shareholder vote market resolves on Bodycote's announcement of the results of the court meeting and general meeting, published on the London Stock Exchange news service on 21 October 2026: YES if both meetings approve the deal. A failed vote or meetings put off past 21 October resolve NO, and if no announcement can be found, Reuters and BBC News reports settle it.
We looked for cases where the board of a British company backed one buyer's offer, a rival bidder then formally dropped out before the shareholder vote, and takeover rules stopped the rival coming back. We found four since 2021 with official records. In each one shareholders said yes at the vote, and the buyer did not raise its price.
